Behind every successful data centre development lies an often-overlooked foundation that extends well beyond engineering design and electrical infrastructure. Before the first server rack is installed or a utility connection established, developers must navigate an intricate landscape of zoning regulations, land rights and legal requirements that can determine whether a project proceeds on schedule – or is delayed for years.

This was one of the key themes explored during a panel discussion at the Pan Africa Data Centre Conference & Exhibition titled ‘Why power infrastructure is a driving force for site selection across Africa’.

Moderated by Marlo Walters, technical director and data centre lead at WSP, the discussion brought together Marc Matthews, director of engineering at Open Access Data Centres (OADC), Julia Power, partner in commercial property at Bowmans, Thulani Ncube, an independent energy strategy consultant, and Heath Andersen of DC Design Africa.

Power highlighted why legal and land-use considerations deserve far greater attention during the earliest stages of project planning.

Engineers naturally focus on questions of redundancy, power densities and cooling technologies. Yet land rights and zoning requirements can prove equally important in determining both project timelines and overall bankability.

Rezoning land for data centre developments is seldom a straightforward exercise. In South Africa, changing a property’s zoning designation from residential or commercial use to industrial or data centre applications can typically take between 12 and 24 months. The process is governed by a combination of national legislation, provincial frameworks and municipal by-laws, often requiring extensive public participation processes and appearances before municipal tribunals.

The timeline can extend further when historic title deed conditions impose restrictions on how land may be utilised.

Many properties continue to carry legacy title deed conditions dating back decades that may limit industrial activities or effectively sterilise land for particular applications. Removing or amending these conditions frequently requires separate legal processes and, in some cases, court applications that introduce additional costs and delays.

For developers operating in highly competitive markets, overlooking these considerations can have significant consequences.

The legal complexities become even more pronounced when considering the infrastructure connections that modern data centres require. Coastal facilities, in particular, are rarely isolated developments. Instead, they form part of broader infrastructure ecosystems involving fibre routes to subsea cable landings and electrical connections extending to substations or transmission networks.

Contrary to popular assumptions, developers cannot simply install fibre or power infrastructure across neighbouring properties. Securing these routes requires legally registered servitudes together with carefully negotiated rights of access and maintenance agreements.

Strengthening or extending grid connections can become particularly complex when multiple properties must be traversed. Each landowner introduces additional negotiations, legal documentation requirements and registration processes through the Deeds Office. Delays affecting any single property may ultimately impact the delivery schedule of an entire project.

Power emphasised that these legal processes must commence early and run in parallel with technical design and commercial negotiations rather than being treated as administrative exercises that can be addressed later.

Perhaps most importantly, land rights have become a critical component of project bankability.

Lenders and equity investors increasingly require certainty regarding land ownership, zoning compliance and infrastructure rights before committing capital. They want assurance that developments possess clear title, that zoning requirements have either been secured or are progressing along realistic timelines, and that necessary servitudes have been obtained or are sufficiently advanced.

Prematurely committing significant capital expenditure before these matters are resolved remains a recurring mistake across major infrastructure developments.

The consequences can be severe. Capital may become stranded while legal processes continue, construction timelines can slip significantly and contractual obligations with anchor tenants may be jeopardised. In highly competitive markets, such delays may ultimately result in customers selecting alternative facilities.

As African data centre developments continue to scale, success will increasingly depend upon multidisciplinary planning that brings together engineering, legal and commercial expertise from the earliest project stages.

The hidden foundations of modern digital infrastructure are not found solely in concrete and steel. They are equally embedded in title deeds, servitudes and planning approvals that quietly determine whether projects can move from concept to reality.
